  3.           Vector Numerics, Inc. License Agreement

  7.           Use of this product constitutes your acceptance of this
  8.           agreement. If you do not accept these terms, return the package
  9.           within 30 days of purchase for a refund.

  13.           VectorPro, and the accompanying materials, are copyrighted
  14.           materials protected by U.S. law and international treaty
  15.           provisions. You are granted the right to use one copy of the
  16.           software on one computer at a time, and to make backup copies as
  17.           necessary for archival purposes only.

  21.           You may not rent or lease the software, but may transfer
  22.           ownership provided all copies, including previous versions, are
  23.           transferred to the new owner, or deleted, and written notice of
  24.           transfer is sent to Vector Numerics, Inc. The new owner must
  25.           also agree to be bound by this agreement.

  29.           Network and workstation licenses: A network license allows you
  30.           to install one copy on one server. A workstation license allows
  31.           one workstation to be granted read access to the VectorPro files
  32.           on a server.

  36.           RUN-TIME DISTRIBUTION: Vector Numerics, Inc. grants you the
  37.           right to distribute programs linked with the VectorPro libraries
  38.           royalty free, subject to the following restrictions:

  40.           Credit must be given in some section (Appendix, Bibliography,
  41.           Copyright Notice Page, etc.) of your manual to Vector Numerics,
  42.           Inc. for its contribution to your product.
  43.  
  44.           General purpose software (such as speadsheets, mathematical
  45.           aids, etc.) which allow the user to specify or program the
  46.           calculation logic to use are not included. Please contact Vector
  47.           Numerics, Inc. if you wish to incorporate VectorPro routines
  48.           into such a product.

  50.           You agree to indemnify, hold harmless, and defend Vector
  51.           Numerics, Inc. and any suppliers from and against all claims or
  52.           lawsuits, including attorney's fees, that arise or result from
  53.           the use or distribution of your software product.

  57.           SHAREWARE DISTRIBUTION: The original .ZIP file constituting the
  58.           VectorPro shareware distribution may be copied and given away at
  59.           will. A small fee may be charged by shareware duplication
  60.           services, but actual product licensing by the user must be done
  61.           through Vector Numerics, or approved agents thereof.

  64.           The printed manual may not, under any circumstances, be copied.

  68.           Vector Numerics, Inc. will not be liable for any special,
  69.           incidental, consequential, indirect, or similar damages due to
  70.           any cause or reason, even if Vector Numerics or its agents have
  71.           been advised of the possibility of such damages. At no time
  72.           shall Vector Numerics' liability ever exceed the purchase price
  73.           of the software.

  77.           LIMITED WARRANTY: Vector Numerics warrants the software for a
  78.           period of 90 days from the date of receipt. The entire liability
  79.           of Vector Numerics shall be to either refund the purchase price,
  80.           or replace the defective software. Warranty is void if failure
  81.           of the software is due to accident, abuse, or misapplication of
  82.           the software. NO OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED,
  83.           INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY OR
  84.           FITNESS FOR A PARTICULAR PURPOSE ARE DISCLAIMED BY VECTOR
  85.           NUMERICS AND ITS SUPPLIERS.

  89.           This agreement shall be governed by the laws of the state of
  90.           Indiana. Any action or proceeding brought by either party
  91.           against the other shall be brought only in a State or Federal
  92.           Court of competent jurisdiction located in Tippecanoe County,
  93.           Indiana.

  97.           If any portion of this agreement is found void, invalid, or
  98.           unenforceable, all other provisions of this agreement shall
  99.           remain in effect.
